2. Eligibility
The Service is intended for individuals 18 years and older. We do not knowingly allow persons under 18 to use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with the consent of a parent or guardian and subject to applicable law. You represent that you are not barred from using the Service under applicable laws.
3. Registration
You must provide accurate and complete account information (e.g., display name, email). Keep your credentials confidential and promptly notify us of any suspected compromise. You are responsible for all activities under your account.
4. The Website Content
Unless otherwise stated, we and/or our licensors own the Website Content, including text, graphics, logos, icons, images, audiovisual content, design, layout, compilation, and the overall "look & feel." You may view the Website Content for your personal, non-commercial use. You must not reproduce, distribute, publicly display, scrape, index, frame, mirror, or create derivative works from the Website Content without our prior written permission, except as permitted by applicable law (e.g., fair use/dealing). The Service operates as a Microsoft Word add-in; document content is transmitted from your local Microsoft Word environment to our servers for AI processing, subject to the confidentiality and data retention commitments described in our Privacy Policy.
5. AI Processing
The Service uses artificial intelligence systems to process your inputs (e.g., legal documents, contracts, and review instructions) to generate outputs (e.g., contract analysis reports, redline suggestions, risk assessments, and clause recommendations). We process data to operate, provide, and improve the Service, including quality, safety, fraud prevention, and usage limits. Treatment of inputs/outputs ownership, license grants, and whether they may be used for model improvement is governed by the License Agreement and our Privacy Policy. AI systems may produce imperfect, unexpected, or similar outputs for different users; we do not guarantee uniqueness, accuracy, or compliance of outputs with any third-party rights unless expressly agreed in writing.
To operate, secure, and improve the Service (including model quality and safety), we may process de-identified usage data and metadata. Treatment of your Inputs/Outputs for model training is governed by the License Agreement and Privacy Policy. Where required by law, we obtain consent and/or provide an opt-out (noting that opting out may degrade results or disable certain features).
AI Disclaimer and Limitation of Use
Important: The Service is an AI-powered tool designed to assist qualified legal professionals in automating routine and mechanical aspects of legal document review. The Service is not a law firm, does not provide legal advice, legal consultations, or legal opinions, and is not a substitute for the professional judgment of a licensed attorney.
AI systems, including those used by the Service, are inherently imperfect and may produce errors, inaccuracies, omissions, or misleading results (commonly referred to as "hallucinations"). The Service may incorrectly interpret legal provisions, miss relevant clauses, generate inappropriate redline suggestions, misidentify risks, or provide analysis that is factually or legally incorrect. You acknowledge and agree that:
- All outputs generated by the Service are preliminary, informational, and for reference purposes only. They do not constitute legal advice, legal opinions, or certified legal work product.
- You must not rely on the outputs of the Service as a basis for any legal decision, legal filing, legal representation, or legal advice to any person without independent verification and review by a qualified, licensed legal professional.

- We expressly disclaim any and all liability for losses, damages, claims, or costs arising from or related to reliance on AI-generated outputs without independent legal review. Under no circumstances shall the Company be held responsible for any legal, financial, reputational, or other consequences resulting from the use of AI-generated outputs that have not been verified by a qualified legal professional.
- You are solely responsible for ensuring that any use of the Service and its outputs complies with all applicable laws, regulations, rules of professional conduct, and ethical obligations, including but not limited to duties of competence, confidentiality, and supervision under applicable bar rules and legal ethics codes.
6. Permitted Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not (and must not enable others to):
- Violate any law or third party rights (including IP, privacy, publicity).
- Upload, generate, or distribute illegal, defamatory, deceptive, hateful, harassing, or otherwise harmful content, or content that exploits or harms minors.
- Use the Service to generate or facilitate the creation of documents that misrepresent the identity of the drafter or signatory, or that are intended to impersonate a legal professional or legal entity.
- Infringe or misappropriate copyrights, trademarks, designs, or other proprietary rights; remove or alter notices.
- Reverse engineer, probe, or circumvent security or usage limits; scrape, crawl, or load the Service in a way that harms performance or integrity.
- Use the Service for biometric identification, surveillance, or to infer sensitive attributes about individuals.
- Use outputs to develop competing foundation or generative models without our written permission.
- Use the Service to create fraudulent, forged, or misleading legal documents, or to produce documents intended to deceive courts, regulators, counterparties, or any other persons.
- Present AI-generated outputs as final legal advice, legal opinions, or certified legal work product without independent review and verification by a qualified legal professional.
- Upload documents to the Service in violation of confidentiality obligations, attorney-client privilege, or other duties of non-disclosure owed to third parties, unless you have obtained all necessary authorizations to do so.
We may suspend or remove content and/or accounts that violate these Terms or the License Agreement.
7. Security and Availability
We have implemented commercially reasonable technical and organisational measures designed to secure your private information from accidental loss and unauthorised access, use, alteration or disclosure. However, we cannot guarantee that unauthorised third parties will never be able to defeat those measures or use your private information for improper purposes.
We are striving to provide the best service and products that we can, but you understand and agree that Website materials are provided "as is" and "as available" without any representations or warranties, express or implied except where indicated otherwise. Without prejudice, we do not warrant that:
- Website will be constantly available, or available at all.
- That Website will be available at any particular time or location, uninterrupted or secure.
- That Website will be 24/7 active all the time.
- Your data will be saved all the time in your account, and that data loss will never ever occur. However, we will do our best to make sure all the information is saved in your account for a flawless experience.
8. Linking and Framing
You may link to our homepage in a fair and legal manner that does not damage our reputation or suggest any endorsement. You must not frame the Website or link in a way that misleads as to affiliation, approval, or origin. We may withdraw linking permission without notice. Do not link to parts of the Website that are access-controlled or not publicly available.
9. Payment and Refund Policy
Subscriptions (e.g., Basic, Pro, and Enterprise; plan names and tiers may change as described on the Website) and any paid usage limits are offered as part of the Service. All commercial terms of paid access, including pricing, metering, usage allowances, and license scope, are governed by the separate License Agreement, which you must accept to receive the Service. If these Terms conflict with the License Agreement on payment/licensing matters, the License Agreement controls.
- Billing & Auto-Renewal. If you purchase a subscription, you authorize us and our payment processor (Stripe) to charge your payment method for recurring fees, taxes, and any overages at each billing interval until you cancel.
- Trials. If a trial is offered, it will convert to a paid subscription unless you cancel before the trial ends.
- Plan Changes. Upgrades take effect immediately; downgrades at the next renewal. We may modify plan features or prices prospectively with prior notice where required by law.
- Taxes. Fees are exclusive of taxes, levies, and duties, which may be charged where applicable.
- Refunds. Except as required by law or expressly stated otherwise, all fees are non-refundable and non-creditable (including for partial periods). If the Service experiences sustained unavailability caused by us, contact support for assistance.
- Right of Withdrawal (EEA/UK Consumers). If you are a consumer in the EEA/UK purchasing online, you may have a 14-day withdrawal right. However, where you request immediate provision of the digital Service and acknowledge that you lose the right of withdrawal once performance begins, we will commence service and the withdrawal right will not apply after first use.
- Chargebacks & Non-Payment. Unresolved chargebacks or failed payments may result in suspension or termination. You are responsible for accurate billing information.
- Local Rights. Nothing in this section limits non-waivable consumer rights under applicable law.
10. Third Parties
The Service integrates with third parties such as Stripe (payments) and infrastructure/analytics providers (e.g., Google Cloud / Firebase, AI model providers as listed in the Privacy Policy, Microsoft Word Add-in, Google Analytics). By using this Website you acknowledge that the data provided to such parties may be subject to their terms and privacy practices.
11. Suspension and Termination
We will determine, in our reasonable discretion, whether there has been a breach of these Terms of Website Use. Where a breach has occurred, we may take such action as we deem appropriate. Failure to comply with these Terms of Use constitutes a material breach of the terms upon which you are permitted to use our Website, and may result in our taking all or any of the following actions:
- Immediate, temporary or permanent withdrawal of your right to use our Website.
- Immediate, temporary or permanent removal of any material uploaded by you or for you on our Website.
- Issue a warning to you.
- Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach.
- Further legal action against you.
- Disclosure of such information to law enforcement authorities as we reasonably feel is necessary.
We exclude liability for actions taken in response to breaches of these Terms of Use. We may suspend or terminate your access immediately (with or without notice) if: (a) you materially breach these Terms or the License Agreement; (b) your use poses a security, legal, or reputational risk; (c) we are required to do so by law or a third-party provider; or (d) there is non-payment.
We will act proportionately, and where feasible provide notice and an opportunity to cure. You may cancel at any time in your account settings; cancellation takes effect at the end of the current billing period unless otherwise required by law. Upon termination, the rights and licenses granted to you cease, except as expressly stated in the License Agreement.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. These Terms and any dispute, claim, or controversy arising out of or relating to them, the Service, or any related transactions shall be governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Informal Resolution. Before commencing formal proceedings, the parties shall first attempt to resolve disputes in good faith by contacting Website support email provided below. If a resolution is not reached within 60 days, either party may proceed as set forth below.
13. Notification and Schedule Changes
We reserve the right to change any and all content of our Website, images, software and other items contained in the Website and any Website services offered through the Website at any time without notice.
Occasionally we may, in our discretion, make changes to these Terms of Use. Your continued use of Website after the changes have been made will constitute your acceptance of the changes. If you do not agree to the new terms, we kindly ask you to stop using Website.
14. Warranties and Disclaimers
You agree that your use of the Website and Website Services will be at your sole risk. To the fullest extent permitted by law, we, our officers, directors, employees, and agents disclaim all warranties, express or implied, in connection with the Website and the Website Services and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose and non-infringement. 15. Limitations of Liability
In no event shall we or our directors, employees, or agents be liable to you or any third party for any indirect, consequential, exemplary, incidental, special or punitive damages, including lost profit or lost data damages arising from use of the Website or Website Services, even if you have been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the greater of the amount paid, if any, by you to us for the Website Services during the period of 3 months prior to any cause of action arising, or 100 USD.
16. Indemnity
You agree to defend, indemnify and hold us, our subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from and against, any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your Contributions, use of the Website, and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defence of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.
